Election and Personnel Committee Meeting

Call to Order:
The Yuma County Airport Authority, Inc. (YCAA) Election and Personnel Committee Meeting of the Board of Directors was called to order at 12:01PM on July 16, 2025, in the Yuma International Airport Conference Room, 2191 E. 32nd Street, Suite 218, Yuma, Arizona 85365. The Presiding officer was Reetika Dhawan via Zoom, Committee Chairwoman.
YCAA ELECTIONS AND PERSONNEL COMMITTEE MEMBERS PRESENT WERE:
Reetika Dhawan, Chairwoman & YCAA Director (joined the meeting via Zoom)
William Fox, Director (joined the meeting via Zoom)
Daniel Hann, Director

There were no Public Comments.
REGULAR AGENDA
1) Discussion regarding the performance evaluation of the Airport Director.
Chairwoman Dhawan explained the performance evaluation process outlined in the Airport Director’s employment agreement. She noted that the evaluation, conducted by the full Board of Directors, is based on the completion and review of an evaluation form.
Ms. Brown, the Airport Director, then provided an overview of her employment agreement, highlighting the provisions related to the evaluation process and the most recent revisions to the agreement between the YCAA and the Airport Director. She noted that the revisions addressed the initial term, merit/bonus pay, Exhibit B, and Exhibit C.
Ms. Brown also advised the Committee of their option to enter into executive session if desired. The Committee determined that an executive session was not necessary, and none was held.
The Committee reviewed and discussed the completed performance evaluation forms and Ms. Brown’s overall performance. Chairwoman Dhawan reported that every performance metric had been rated at the highest level, which she cited as clear evidence of the Board’s strong satisfaction with Ms. Brown’s leadership and performance.
Following a thorough discussion of the evaluation results and the revised employment agreement, the Committee reached consensus to recommend that the Board of Directors:
- Approve a supplementary payment to Ms. Brown in an amount to be determined by the Board of Directors.
- Approve the revised employment agreement as presented at the August 12, 2025, Regular Meeting of the Board of Directors.
